The Terms may be updated, amended and/or supplemented by the Company at any time and from time to time, including with additional terms, policies, instructions and/or conditions which can apply to its regular operations and/or to particular events, activities, contests or promotions which the Company may carry out in connection with any of the Services, at any time and from time to time (“supplemental term(s)”), and such supplemental term(s) shall form part of the Terms. The Terms may be referred to interchangeably hereafter as the “Agreement”.
zoompay is a technology platform designed for the licensed professionals; such as taxi providers of Canada. zoompay allows customers of the taxi industry and other professional industries, businesses to pay for any, purchased good, rendered service in a contact-free method using a QR and Contactless pairing process. Zoompay on behalf of Solutions Afit Inc. Operating in Montreal Canada, Ltd., a Canadian company in Montreal, Canada with a company number of 1175066373
zoompay (trademark registered for Solutions Afit Inc.) is a payment taxi application to hire/pay for a Taxi ride or any driver providing such service. zoompay only provides a technology platform to, among other things, introduce drivers and passengers and/or for payments to be made for Journeys. Clients “Riders” track certain Taxi rides and related expenses through a supported mobile device. Clients “Riders” can store payment information, set tip preferences, and view all past trips and receipts. Professionals Drivers track their transactions, reports and add their bank account for weekly payment of aggregated trips costs by their COOP.

USE OF ZOOMPAY SERVICES

1-You agree that all information and details provided by you to us when you register for or use any zoompay service(s) are true, accurate and up-to-date in all respects and at all times. You can update or correct your details at any time via the zoompay app;
2-Subject to your compliance with these Terms, zoompay grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the zoompay services on your personal device solely in connection with your use of any taxi services; and (ii) access and use any content, information and related materials that may be made available through the zoompay services, in each case solely for your personal, non-commercial use.
3- that you are at least 18 years of age and will not allow persons under 18 years of age to receive zoompay services unless you accompany them, and you will comply with all applicable laws in force from time to time (including, without limitation, to cause nuisance, annoyance, inconvenience, or property damage to another);
4- to, if asked, provide proof of identity to access or use the zoompay services and make payment in full for any Journey you take and/or in respect of using any zoompay services provided to you;
5- to treat drivers introduced to you through zoompay with respect and not to cause damage to their vehicle or engage in any unlawful, threatening, harassing, abusive behaviour or activity whilst using their vehicle or any zoompay services;
6-to indemnify and hold zoompay (and its affiliates as well as its officers, directors, employees and agents) harmless against any claims, legal proceedings, losses, liabilities or expenses (including attorneys’ fees) brought against us by any other person as a result of your use of the zoompay services or breach of these Terms.
7-You agree and acknowledge that you are responsible for obtaining compatible hardware and the data network access necessary to use the zoompay services, and that your network’s data and messaging rates and fees may apply to your use of the zoompay services.
8-You acknowledge that zoompay does not provide transportation, logistics, delivery or vendor services or function as a transportation provider or carrier, and that all such transportation, logistics, delivery and vendor services are provided by independent third-party contractors and COOPs (Taxi Dispatchers) who are not employed by zoompay.
9-Accordingly, we are not responsible for the behaviour, actions or inactions of taxi drivers which you may use (through zoompay or otherwise). Any contract for the provision of for-hire transportation services is only between you and the driver. zoompay only provides a technology platform to, among other things, introduce drivers and passengers and/or for payments to be made for Journeys.

CHARGES AND PAYMENT
1-Use of the zoompay services may result in charges with relation to the zoompay services themselves or any accompanying third-party service. If you choose to use the zoompay services then any payment due from you to any party (inclusive of all applicable taxes) will be taken upon concluding your use of the ZOOMPAY services using the payment details you have provided to us, and all amounts will be routed to the appropriate party to which it is due. You agree that we may undertake authorization checks on any payment details you provide to us (including credit and debit cards) at any time. Please see our privacy policy at https://www.zoompay.ca/privacy-policy on how we will use, protect and store your personal data. Payment(s) will be processed via a third-party payment processor.
2- When you register to use the zoompay app, you will be given the option to preset a default “tip” percentage of your choosing. This will automatically be added to the fees at the end of each Journey unless you choose to override it with a different tip amount or to remove the tip;
3-Any Charge back or Disputed Charges will be communicated to the zoompay support team. zoompay Support Engineers will investigate and provide a follow up to both Drivers and Riders for any disputed transactions with a resolution plan.
4-All Service provider transactions are deemed to be inclusive of applicable taxes. Service providers are responsible for remitting all applicable taxes to the appropriate tax authorities. In the event zoompay and/or reseller incurs a tax liability as a result of the payment of the service charge to the provider, the provider will indemnify zoompay for all taxes, interest and penalties which may be assessed by any taxing authority that arise from the payment of the Revenue.

TRANSPORTATION DISPUTES
Any disputes or complaints regarding any transportation services must be directed to the Taxi owner, dispatcher, manager, driver or operator providing such services (“Transportation Dispute”). The Company will not be a party to any complaints, negotiations, litigation or other disputes between you and such third party Taxi owners/dispatchers/managers/drivers/operators regarding any Transportation Dispute. You agree to release the zoompay Indemnitees from and against any and all Losses arising out of a Transportation Dispute. Further, you agree that you will not involve any zoompay Indemnitees in any litigation or other dispute arising out of or related to any services, arrangement or other agreement with a Taxi owner, dispatcher, manager, driver or operator or other third party in connection with the Services, including, without limitation, any Transportation Dispute. If, in breach of this provision, you attempt to do so, you will be liable for all Losses incurred by the zoompay Indemnities in connection therewith.

TERMINATION
We reserve the right to suspend, restrict or terminate your access to any zoompay services at any time without notice if we have reasonable grounds to believe you have breached any of these Terms. This shall not limit our right to take any other action against you that we consider appropriate to defend our rights or those of any other person.
OUR LEGAL OBLIGATIONS, DISCLAIMERS AND LIMITS ON OUR LIABILITY
1- We shall not be liable for damages, liability or losses arising out of your reliance on the zoompay services, your inability to access the zoompay services or any transaction or relationship between you and a third-party service provider. In no case shall our aggregate liability to you in connection with the provision of the zoompay services exceed 250 Canadian Dollars.
2-zoompaysets a minimum taxi transaction service fee to 5 Canadian Dollars subject to a maximum of 500 Canadian Dollars
3- If you breach these Terms and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.
4- If any part of these Terms is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.
5- These Terms are not intended to give rights to anyone except you and us.
